Terms of Service

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, or the business you represent ("Client" or "you"), and Sundeer.ai ("Sundeer", "we", "our", or "us"). By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Our Services

Sundeer provides custom AI software development, enterprise architecture consulting, and related professional services to businesses. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work ("SOW") or Master Services Agreement ("MSA") executed between the parties.

These Terms govern your use of our website and any services not otherwise covered by a separate written agreement. Where a signed MSA or SOW exists, it takes precedence over these Terms for the matters it addresses.

Accounts & Access

If we provide you with portal access, credentials, or project management access as part of an engagement, you are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use or security breach at security@sundeer.ai.

You may not share access credentials with individuals outside your organisation or with competitors of Sundeer.

Acceptable Use

You agree not to use our website or services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorised access to our systems or data
  • Reverse-engineer, decompile, or disassemble any software we provide
  • Use our services to build a competing product or service
  • Engage in any activity that interferes with the integrity or performance of our services

We reserve the right to suspend or terminate access for any violation of these restrictions.

Intellectual Property

Our IP: All content on this website, including text, graphics, logos, and software, is owned by Sundeer or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you a licence to use our brand assets or proprietary materials outside of the services we provide.

Client IP: You retain ownership of all data, materials, and intellectual property you provide to us. You grant us a limited licence to use your materials solely to perform the agreed services.

Work product: Ownership of deliverables created under an engagement is governed by the applicable SOW or MSA. In the absence of a written agreement, all work product remains the property of Sundeer until full payment is received.

Confidentiality

Each party agrees to keep the other's confidential information — including business plans, technical data, pricing, and client lists — strictly confidential and to use it only for the purposes of the engagement. Confidentiality obligations do not apply to information that is publicly known, independently developed, or required to be disclosed by law.

These obligations survive termination of any engagement for a period of three (3) years.

Payment Terms

Fees are specified in the applicable SOW or proposal. Unless otherwise agreed:

  • Invoices are due within 30 days of the invoice date
  • Late payments accrue interest at 1.5% per month (or the maximum permitted by law)
  • We reserve the right to suspend services for accounts more than 30 days overdue
  • All fees are exclusive of applicable taxes, which are the Client's responsibility

Disputed invoices must be raised in writing within 14 days of receipt. Undisputed portions remain due.

Warranties & Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not warrant that our services will be error-free or uninterrupted, or that any AI systems we build will produce accurate results in all circumstances.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNDEER'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ENGAGEMENT SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Sundeer and its officers, directors, employees, and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your use of our services in violation of applicable law; or (c) any third-party claim related to data or materials you provide to us.

Termination

Either party may terminate an engagement as specified in the applicable SOW or MSA. We may suspend or terminate your access to our website immediately, without notice, if you breach these Terms or engage in conduct we reasonably believe is harmful to us, other clients, or third parties.

Upon termination, provisions that by their nature should survive (including confidentiality, payment obligations, IP ownership, and limitations of liability) will continue to apply.

Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Sundeer is incorporated, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of our home jurisdiction, as permitted by applicable law.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date and, where appropriate, by direct communication. Your continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
